These Supplemental Terms and Conditions for Google Workspace Free Trial ('Free Trial Terms and Conditions') are an addendum to the Google Workspace Agreement and apply to the Customer‘s participation in the Google Workspace Free Trial ('Free Trial'). Capitalised terms not defined in the Free Trial Terms and Conditions will have the meanings given to them in the Google Workspace Agreement.
- 1. Conditions.
- 1.1 Only new Google Workspace customers are eligible to participate in the Free Trial.
- 1.2 The Free Trial starts when the Customer agrees to the Supplemental Terms and ends when the Free Trial period is completed.
- 2. Limitations. During the Free Trial:
- 2.1 The Customer may only create a limited number of End User accounts;
- 2.2 Certain Services and features will not be available;
- 2.3 The SLAs and TSS Guidelines will not apply;
- 2.4 Google will not have any obligation to indemnify the Customer or any of its Affiliates against any Indemnified Liabilities arising from alleged infringement of any third party's Intellectual Property Rights by the Customer Indemnified Parties' use of Google’s technology used to provide the Services or of Google’s Brand Features;
- 2.5 The Customer must follow any policies made available to the Customer within the Services and, if Google determines (at its sole discretion) that any data submitted, stored, sent or received via the Services by Customer, its Affiliates or End Users ('Trial Customer Data') does not comply with Google’s terms or policies (including without limitation these Free Trial Term and Conditions) or if Google is investigating suspected misconduct, Google may suspend or stop provision of the Services to the Customer without notice;
- 2.6 Notwithstanding any terms stating otherwise in the Google Workspace Agreement, use of the Services will not be subject to the Data Processing Amendment, and the Customer agrees not to use (or allow its Affiliates or End Users to use) the Services to submit, store, send or receive any personal data;
- 2.7 The Customer is solely responsible for protecting its property, data and others from any risks caused by Services; and
- 2.8 Unless otherwise specified in writing by Google, Google does not intend the use of the Services to create obligations under the Health Insurance Portability and Accountability Act, as amended, ('HIPAA'), and makes no representations that the Services satisfy HIPAA requirements. If the Customer is (or becomes) a Covered Entity or Business Associate under HIPAA, the Customer agrees not to use (or allow its Affiliates or End Users to use) the Services for any purpose or in any manner involving Protected Health Information unless the Customer has received prior written consent to such use from Google.
- 3. Upgrading to Standard Google Workspace account.
- 3.1 At any time during the Free Trial, the Customer may convert its Free Trial account to a standard Google Workspace account by contacting Google support. After the Free Trial ends, the Customer may convert its Free Trial account to a standard Google Workspace account as described in Section 4 (End of the Free Trial) below.
- 3.2 The Customer’s continued use of the Services after upgrading to the standard Google Workspace account is subject to the terms of the Google Workspace Agreement (or other applicable agreement between Google and the Customer) and the Free Trial Terms and Conditions will no longer apply.
- 4. End of the Free Trial.
- 4.1 If the Customer has not upgraded when the Free Trial ends, the Customer will no longer have access to the Services. During the 21-day period after the end of the Free Trial, the Customer may contact Google support (i) to migrate Trial Customer Data from the Services or (ii) to upgrade to a standard Google Workspace account. When such 21 day-period has expired, Google will delete Trial Customer Data (unless Customer has upgraded to a standard Google Workspace account).
- 4.2 If billing information was provided during the Free Trial, the Customer will automatically be charged to convert its Free Trial account to a standard Google Workspace account. Upon successful payment, the Customer will be upgraded to a standard Google Workspace account.
- 5. Limitation of Liability
- GOOGLE’S LIABILITY WILL BE LIMITED AS FOLLOWS:
- 5.1 IF THE CUSTOMER IS ESTABLISHED OUTSIDE THE EUROPEAN ECONOMIC AREA, GOOGLE WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL EXEMPLARY OR PUNITIVE DAMAGES UNDER THESE FREE TRIAL TERMS AND CONDITIONS, AND THE CUSTOMER’S SOLE AND EXCLUSIVE REMEDY FOR ANY CLAIMS ARISING FROM ITS USE OF THE SERVICES UNDER THESE FREE TRIAL TERMS AND CONDITIONS IS TO STOP PARTICIPATING IN THE FREE TRIAL; OR
- 5.2 IF THE CUSTOMER IS ESTABLISHED WITHIN THE EUROPEAN ECONOMIC AREA, GOOGLE’S LIABILITY UNDER THESE FREE TRIAL TERMS AND CONDITIONS WILL BE LIMITED AS SET OUT IN THE GOOGLE WORKSPACE AGREEMENT, EXCEPT THAT GOOGLE WILL NOT HAVE ANY LIABILITY UNDER SECTION 12 (INDEMNITY) OF THE GOOGLE WORKSPACE AGREEMENT.
- 6. Effect of Addendum.
- To the extent of any conflict or inconsistency between these Free Trial Terms and Conditions, and the remaining terms of the Google Workspace Agreement, these Free Trial Terms and Conditions will govern. Subject to these Free Trial Terms and Conditions, the Google Workspace Agreement remains in full force and effect.
